VENDOR AGREEMENT - KUVANDE

Effective Date: January 2025

This Vendor Agreement ("Agreement") is a legally binding contract between Kuvande Online Market Place ("Kuvande", "we", "our", "us") and the individual or business ("Vendor", "you", "your") who registers to create an online store and sell products on the Kuvande platform.

By signing up as a Vendor, you acknowledge that you have read, understood, and agree to be bound by this Agreement, the Terms of Use, the Privacy Policy, and all operational guidelines provided by Kuvande.

1. Vendor Eligibility

To become a Vendor on Kuvande, you must:

  • Be at least 18 years old
  • Provide accurate registration information
  • Operate a legitimate business or sell genuine products
  • Agree to subscription terms and platform rules

Kuvande may verify your identity through KYC (Know Your Customer) documentation.

2. Vendor Account & Staff Accounts

2.1 Vendor Account

You are responsible for all activity conducted under your Vendor account, including product listings, communication with customers, pricing, and delivery.

2.2 Vendor Staff Accounts

Vendors may create staff accounts for employees or shop attendants.

Vendor Staff may:

  • Upload and edit products
  • Update stock
  • View and manage orders
  • Communicate with customers
  • Use assigned permissions

Vendors are fully responsible for the actions, misconduct, or misuse by their staff accounts.

3. Subscription Requirements

3.1 Mandatory Active Subscription

An active paid subscription is required for full Vendor functionality, including:

  • Allowing customers to place orders
  • Confirming and processing orders
  • Recording and tracking sales
  • Using premium tools and analytics

Subscription options include:

  • Monthly
  • 3 Months
  • 6 Months
  • 1 Year
  • 2 Years

All subscription fees are processed securely through Paystack.

3.2 Free Subscription Plan

Kuvande provides a Free Limited Plan, allowing Vendors to:

  • Create a store
  • Upload products
  • Explore dashboard features

However:

  • Vendors cannot record or confirm sales when free subscription expires.

3.3 Subscription Non-Refundability

All subscription fees are non-refundable, regardless of usage.

4. Vendor Obligations

Vendors agree to:

  1. Provide accurate product descriptions and pricing
  2. Upload genuine and non-misleading product images
  3. Maintain updated stock levels
  4. Deliver products promptly and professionally
  5. Communicate respectfully with customers
  6. Protect customer data and follow privacy standards
  7. Renew subscription before expiry
  8. Ensure staff comply with all platform policies

Failure to meet these obligations may result in suspension or termination.

5. Product Listing Requirements

Vendors must ensure that:

  • Products are legitimate, safe, and lawful
  • Descriptions, images, and pricing reflect true product conditions
  • Variants (size, color, quantity) are accurate
  • No misleading, offensive, or inappropriate content is uploaded

Prohibited items include:

  • Illegal drugs
  • Weapons
  • Counterfeit goods
  • Pornographic materials
  • Stolen or restricted products

6. Order Processing & Delivery

Vendors are solely responsible for:

  • Processing and confirming orders
  • Packaging and preparing goods
  • Delivering through their own means or delivery partners
  • Communicating delivery timelines
  • Handling delivery fees (configured in delivery settings)
  • Managing delivery-related disputes

Kuvande is not responsible for product delivery or fulfillment.

7. Refunds, Returns & Customer Issues

Kuvande does not offer an in-app refund submission feature.

Therefore:

7.1 Customer First Contacts Vendor

Customers must contact the Vendor directly regarding:

  • Wrong items
  • Damaged items
  • Unfulfilled orders
  • Product mismatches

7.2 Vendor Responsibility

Vendors must:

  • Respond within a reasonable time
  • Resolve legitimate issues
  • Offer replacement, refund, or compensation as needed

7.3 Escalation to Kuvande

If a Vendor refuses to resolve a valid complaint, customers may escalate the issue to:

Kuvande may mediate but is not obligated to enforce refunds.

8. Payments & Settlements

  • Customers may pay through Mobile Money or card payments (via Paystack or other approved gateways).
  • Vendors must provide correct payout details.
  • Payment delays caused by external providers are not Kuvande's responsibility.
  • Vendors are responsible for their own tax obligations.

9. Marketplace Participation

If Vendors choose to list their products on the Kuvande Marketplace, commission fees are not apply.

Marketplace visibility is not guaranteed and may depend on:

  • Product quality
  • Customer satisfaction
  • Subscription plan
  • Performance metrics

10. Vendor Data Responsibilities

Vendors must:

  • Handle customer personal data lawfully
  • Not export, sell, or misuse customer phone numbers or addresses
  • Not spam customers or send unsolicited promotional messages
  • Maintain confidentiality of all customer information

Violation may result in legal action and account termination.

11. Platform Security & Conduct

Vendors and staff may not:

  • Attempt to hack, bypass, or reverse-engineer the platform
  • Create fake orders or manipulate sales figures
  • Use offensive or abusive language
  • Misrepresent product authenticity
  • Attempt to circumvent subscription requirements

Kuvande reserves the right to investigate and enforce corrective action.

12. Suspension & Termination

Kuvande may suspend or permanently terminate a Vendor account if:

  • Subscription remains unpaid
  • Prohibited items are listed
  • Fraud or illegal activity is detected
  • Vendor refuses to resolve legitimate customer claims
  • Multiple complaints are received
  • Vendor staff misuse or violate platform rules

Terminated Vendors lose access to all account features and data.

13. Limitation of Liability

Kuvande is not liable for:

  • Delivery issues or delays
  • Wrong or damaged items sold by Vendors
  • Loss of profits or business losses
  • Payment gateway delays
  • Vendor or staff misconduct
  • Customer misuse or fraudulent actions

Kuvande provides the platform "as is" without warranties.

14. Modifications to This Agreement

Kuvande may update this Vendor Agreement at any time.

Updated versions will be posted at www.kuvande.com, and continued use constitutes acceptance of the revised terms.

15. Governing Law

This Agreement is governed by the laws of the Republic of Ghana.

  • Your continued use of the platform signifies ongoing acceptance
